Welcome to Movely! These Terms of Use (“Terms”) govern your access to and use of the website www.wemovely.com (the “Site”), our mobile applications (if any), and related services, including long-term rental search, AI-powered recommendations, moving coordination, landlord/tenant connections, home services matching, and any other features we offer (collectively, the “Services”), provided by Movely LLC (“Movely”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. The “Last Updated” date shows the most recent version. Continued use after changes constitutes acceptance. Significant changes may be notified via email or notice on the Site.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

2. Account Registration

Some features require creating an account. You agree to provide accurate, current information and maintain its accuracy. You are responsible for all activity under your account and for keeping your password secure. Notify us immediately of unauthorized access.

We reserve the right to suspend or terminate accounts for violations of these Terms or for any other reason.

3. User Content and Conduct

You may post or submit content (e.g., profiles, search preferences, messages, reviews, documents) (“User Content”). You retain ownership but grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content for operating, improving, and promoting the Services.

You agree not to:

  • Post false, misleading, or fraudulent information (e.g., fake listings, impersonation)
  • Violate laws, infringe rights (intellectual property, privacy), or harass others
  • Transmit viruses, malware, or spam
  • Interfere with the Services or attempt unauthorized access
  • Use the Services for illegal activities, including discrimination in housing (fair housing laws apply)

We may remove or disable User Content that violates these Terms.

4. Our Role and Disclaimers

Movely provides a platform to connect users (renters, landlords, movers, service providers) and rent out Movely - managed service apartments to our clients (based on rent-to-rent model with landlords).

We do not:

  • Act as a real estate broker, agent (unless separately licensed and disclosed)
  • Guarantee availability of listings, services, or users
  • Enter into contracts on your behalf (leases, moving agreements, etc., are between users)

All use of the Services is at your own risk. Listings and services are provided “as is” by third parties.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DISCLAIM ALL LIABILITY FOR THIRD-PARTY ACTIONS, CONTENT, OR TRANSACTIONS.

5. Payments and Fees

Certain features may involve fees (e.g., premium subscriptions, service bookings). You authorize us or our processors to charge your payment method. Fees are non-refundable unless stated. We may change fees with notice.

If we facilitate payments, third-party processors handle them; we are not responsible for their errors.

6. Third-Party Services and Links

The Services may link to or integrate third-party sites/services (e.g., payment processors, background checks, maps). We are not responsible for their content, practices, or availability.

7. Intellectual Property

The Services (design, text, software, logos, AI features) are owned by Movely or licensors and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivatives without permission, except for personal, non-commercial use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVELY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, PROPERTY DAMAGE) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENT).

9. Indemnification

You agree to indemnify and hold Movely harmless from claims, losses, liabilities, damages, costs (including attorneys’ fees) arising from your use of the Services, User Content, violation of these Terms, or infringement of third-party rights.

10. Termination

We may terminate or suspend your access at any time, without notice, for violations or other reasons. Upon termination, your right to use the Services ends, but certain provisions (e.g., disclaimers, liability limits, arbitration) survive.

11. Dispute Resolution; Arbitration

These Terms are governed by New York law (without regard to conflicts of laws).

Any disputes shall be resolved exclusively through binding arbitration in Albany, New York, under the American Arbitration Association rules (or successor). No class actions. You waive jury trial rights.

For small claims (<$10,000), you may file in small claims court.

12. Miscellaneous

  • Entire agreement: These Terms (plus Privacy Policy and any other incorporated terms) are the full agreement.
  • Severability: Invalid provisions do not affect others.
  • No waiver: Failure to enforce does not waive rights.
  • Assignment: We may assign these Terms; you may not without consent.
  • Force majeure: We are not liable for events beyond control (e.g., natural disasters, internet outages).
